Terms of Service
These terms are a binding agreement between you and CODASC SOFTWARE PUBLISHING. By creating an account or using any Codasc app, you agree to them.
1. Acceptance
These Terms of Service (“Terms”) govern your access to and use of the Codasc website and the apps published under it (together, the “Service”), operated by CODASC SOFTWARE PUBLISHING(“Codasc”, “we”, “us”). If you do not agree to these Terms, do not use the Service. Your use of the Service is also subject to our Privacy Policy and Disclaimers, which are incorporated here by reference.
2. Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements and that the information you give us is accurate.
3. Your account
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- Notify us promptly at [email protected] if you suspect unauthorized use.
- One person or entity per account, unless we agree otherwise in writing.
4. Acceptable use
You agree not to:
- break the law or infringe anyone’s rights while using the Service;
- attempt to access accounts, data or systems that are not yours;
- probe, scan, overload, disrupt or reverse-engineer the Service, or bypass its security or rate limits;
- scrape, resell or redistribute the Service or its content without permission;
- upload malware or unlawful, harmful or abusive content; or
- misrepresent your identity or use the Service to deceive others.
We may suspend or terminate accounts that violate these rules.
5. Intellectual property
The Service, including its software, design, text and branding, is owned by Codasc and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. The content and data you create remains yours; you grant us the limited licence needed to host, process and display it so we can provide the Service to you.
6. Apps, plans and payments
- Free apps (such as Workout and Bike Fit) are provided free of charge and may be changed, limited or discontinued at any time.
- Paid features (such as Outage Watch passes) are sold as described at the point of purchase. Passes are prepaid and do not auto-renew — you are never charged by surprise, and access ends when the pass expires unless you buy another.
- Except where the law requires otherwise, fees already paid are non-refundable. Prices and features may change going forward; changes do not affect a pass you have already bought.
7. Third-party services
The Service relies on third parties (for example sign-in, payments, messaging and analytics providers) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them is governed by their own terms.
8. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any information it provides (including outage alerts, fitness estimates and bike-fit results) is accurate, complete or suitable for your circumstances. 9. Limitation of liability
To the fullest extent permitted by law, Codasc and CODASC SOFTWARE PUBLISHING will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or other intangible losses, arising out of or relating to your use of (or inability to use) the Service — even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the three (3) months before the event giving rise to the claim, or (b) PHP 5,000. Some jurisdictions do not allow certain limitations, so some of these may not apply to you; in that case our liability is limited to the smallest extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless Codasc and CODASC SOFTWARE PUBLISHING from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms or of any law or third-party right.
11. Suspension & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification and governing law) will survive.
12. Governing law & venue
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. You agree that the competent courts of the Philippines have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you have where you live.
13. Changes to these Terms
We may update these Terms from time to time. We will change the “last updated” date above and, for material changes, take reasonable steps to notify you. Continuing to use the Service after a change means you accept the updated Terms.
14. Miscellaneous
If any provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the business. These Terms, together with the Privacy Policy and Disclaimers, are the entire agreement between you and us regarding the Service.
